General Terms and Conditions of Sale (GTC)

1. Legal information

These General Terms and Conditions of Sale (hereinafter the “GTC”) are entered into between:

GLI International, a trademark operated by BRDWISE LLC, a company duly incorporated under the applicable law, providing services related to the organization and sale of professional travel (hereinafter the “Service Provider”),

and any natural or legal person purchasing services offered by GLI International (hereinafter the “Client”).

The full company details (address, registration number, contact information) are communicated to the Client on contractual documents and/or on GLI International’s website.

2. Purpose

The purpose of these GTC is to define the conditions under which GLI International provides the Client with professional travel services and related services (organization, booking, assistance, logistics, etc.). Any order implies the Client’s full and unconditional acceptance of these GTC.

3. Scope of application

These GTC apply to all services offered by GLI International, unless specific written terms have been agreed upon and accepted by both parties. They prevail over any other document, including the Client’s general purchasing conditions.

4. Order and validation

An order is deemed final and binding once:

• the Client has approved the offer or quotation proposed by GLI International, and
• the required full or partial payment has been made.

GLI International reserves the right to refuse any order in the event of a previous dispute or non-payment.

5. Prices

Prices are expressed in the currency indicated at the time of the order.

Unless otherwise stated, prices include only the services explicitly mentioned in the offer. Any additional service will be subject to additional billing.

GLI International reserves the right to amend its prices at any time, without retroactive effect on orders already confirmed.

6. Payment terms

Payment is made using the payment methods offered by GLI International (credit/debit card, bank transfer, online payment solutions, etc.).

Services are payable according to the payment schedule specified in the offer or invoice.

Any late payment may result in the suspension of ongoing services.

7. Refund policy

7.1 General principle: Services provided by GLI International are non-refundable, except in the strictly defined case below.

7.2 Exceptional refund condition: A refund may be considered only if all the following conditions are cumulatively met:

• the Client purchased the service for professional use;
• a competent tax officer explicitly refuses in writing the coverage of the travel or service as a business expense;
• the Client provides GLI International with an official, written, and nominative document issued by the competent tax authority mentioning such refusal.

No refund will be made in the absence of this official document.

7.3 Refund terms: When the above conditions are met, the refund:

• will be limited to the amount actually paid by the Client, excluding banking fees, currency exchange fees, commissions, or services already performed;
• will be processed within a maximum of 30 days from the validation of the file by GLI International;
• will be made using the same payment method used for the order, unless otherwise agreed.

8. Cancellation by the Client

Any cancellation initiated by the Client, for any reason whatsoever, shall not give rise to any refund, except as provided under Article 7.

9. Liability

GLI International undertakes to provide its services with diligence and professionalism. Its liability cannot be engaged in the event of:

• force majeure;
• administrative or tax decisions affecting the Client;
• visa refusal, authorizations, or required documents;
• circumstances attributable to third parties (carriers, hotels, local authorities).

10. Client obligations

The Client undertakes to:

• provide accurate and complete information;
• ensure the services comply with its legal and tax obligations;
• assume full responsibility for the accounting and tax treatment of the services.

11. Intellectual property

All content, documents, materials, and trademarks used by GLI International remain its exclusive property and may not be used without prior written authorization.

12. Personal data

GLI International processes the Client’s personal data in accordance with applicable data protection regulations. The data is used solely for the purpose of performing the services.

13. Applicable law and competent jurisdiction

These GTC are governed by Georgian law. Any dispute relating to their interpretation or performance shall fall under the exclusive jurisdiction of the courts within the district of GLI International’s registered office, unless mandatory legal provisions provide otherwise.

14. Acceptance of the GTC

The Client acknowledges having read these General Terms and Conditions of Sale and accepts them without reservation prior to any order.
